COLLABORATION PARTNER AGREEMENT

1.Definitions
In this Agreement, the following terms shall have the meanings assigned to them:
- “Company” refers to The Financial Planning Club Ltd.
- “Collaboration Partner” refers to any entity or individual entering into this agreement for the purpose of a 12-month collaboration.
- “Agreement” refers to this 12-Month Collaboration Partner Agreement.
- “Services” refer to activities, events, content sharing, and promotional efforts mutually agreed upon under this Agreement.
- “Term” refers to the 12-month period from the Effective Date.
- “Effective Date” refers to the date on which both parties sign this Agreement.
- “Confidential Information” refers to any proprietary or sensitive business, financial, or operational information shared between the parties.
- Purpose of Collaboration
The purpose of this Agreement is to establish a mutually beneficial collaboration between the Company and the Collaboration Partner. The collaboration may include but is not limited to:
- Joint marketing efforts and promotional campaigns.
- Shared content creation and distribution.
- Participation in events, webinars, or workshops.
- Cross-branding opportunities and audience engagement strategies.
- Any other agreed-upon activities that enhance business growth and visibility for both parties.
- Term and Termination
- The Agreement shall have a minimum term of 12 months from the Effective Date.
- Either party may terminate this Agreement with three (3) months’ written notice.
- The Company reserves the right to terminate the Agreement immediately if the Collaboration Partner breaches any material terms or engages in activities that may harm the reputation or integrity of the Company.
- Upon termination, all outstanding deliverables, shared materials, and financial obligations must be settled within 30 days.
- Roles & Responsibilities
The Financial Planning Club Ltd shall:
- Provide the agreed-upon platform, events, and marketing opportunities.
- Offer exposure to its network through branding and promotional efforts.
- Share relevant industry insights and support collaboration initiatives.
The Collaboration Partner shall:
- Actively participate in agreed initiatives and promotions.
- Provide content, insights, or resources as part of the collaboration.
- Uphold the brand integrity and professional standards of the Company.
- Financial Terms
- Any financial contributions, fees, or revenue-sharing models shall be agreed upon separately in writing.
- Payments (if applicable) shall be made via direct debit, invoicing, or other agreed-upon methods.
- Failure to meet financial obligations may result in termination of the Agreement.
- Confidentiality & Data Sharing
- Both parties agree to maintain confidentiality regarding proprietary or sensitive information shared during the collaboration.
- Any data shared or accessed under this Agreement must be used solely for the intended purpose and in compliance with applicable data protection laws.
- Any public statements, marketing materials, or social media collaborations must be approved by both parties before release.
- Liability & Indemnity
- Each party shall remain responsible for its own activities and obligations under this Agreement.
- Neither party shall be liable for indirect, incidental, or consequential damages arising from the collaboration.
- The Collaboration Partner agrees to indemnify the Company against any claims, losses, or damages resulting from the Partner’s actions or representations.
- Amendments & Changes
- The Company reserves the right to update or amend this Agreement upon providing 30 days’ written notice to the Collaboration Partner.
- Any modifications must be mutually agreed upon in writing.
- Governing Law & Jurisdiction
- This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
- Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the English courts.
